Mitra Keluarga Karyasehat Tbk (MIKA), a hospital management company, is planning to acquire Rumah Kasih Indonesia (RKI) worth IDR 342.64 billion. The transaction will be conducted through IDR 189.15 billion of capital participation and IDR 153.49 billion from RKI shares purchased from other shareholders.
Rustiyan Oen, President Director of MIKA, said the transaction will increase the company’s market share in hospital business. RKI is a company that manages seven hospitals and mother and child hospital (RSIA), such as RSIA Karunia Kasih Bekasi, RSIA Mitra Family in Karawang, and RS Kartika Medical Center in Sukabumi. This transaction is also predicted to support the business development and a positive impact on financial performance in the future.
MIKA will buy 87.86 million new shares and 32.08 million shares of RKI owned by Josef D Angkasa, 28.52 million shares owned by Stanley Handiono Angkasa, and 10.69 million shares owned by Ronny Hadiana.
The shareholders are affiliated with the company. Josef D Angkasa is the company’s lead commissioner. Stanley Handiono Angkasa and Ronny Hadiana are Josef’s siblings.
The company has entered into a new shareholder agreement and an agreement to buy and sell RKI on August 31, 2017. This is not a material transaction because the transaction value is only 9.8 percent of the company’s equity as of June 30, 2017, which reached IDR 3.5 trillion.
In the trading opening on Tuesday (5/9), MIKA dropped 2.17 percent to IDR 2,250. (*)
